Solving the problems of companies and investments in the italian capital market required rethinking legislative regulation. This essay discusses some of the newly issued and immediately applicable rules. The result is that these rules are only a test and will therefore be changed with the next reform. My result suggests that, rather than promoting new reforms, freedom of enterprise is the key to solving market problems. The solution to the problems of the capital market is to guarantee the freedom of enterprise rather than new laws.
Risolvere i problemi delle società e degli investimenti nel mercato dei capitali italiano richiede ripensare la disciplina. Questo saggio discute alcune delle novità contenute nella legge 5 marzo 2024, n. 21 (così detta “legge capitali”) di immediata applicazione. Il risultato cui giunge l’Autrice è che queste regole sono solo un test e saranno destinate ad essere cambiate con una prossima riforma. Il lavoro suggerisce che, piuttosto che promuovere nuove riforme, la chiave per risolvere i problemi del mercato è quella di garantire la libertà d’impresa.
